Terms and Conditions

The present document, hereinafter referred to as the "Terms and Conditions", constitutes a legally binding contractual agreement that regulates and governs your access to, and utilization of, the Underground Music Society (hereinafter referred to as "UMS") platform (hereinafter collectively referred to as the "Platform"). The Platform encompasses, but is not limited to, the UMS Membership Card (virtual and/or otherwise), affiliated digital interfaces (including websites, mobile applications, and other proprietary digital assets), associated services, ancillary benefits, discounts, third-party partner offers, event ticketing systems, registration modules, and any other relevant functionalities or features provided therein, which are owned, managed, and/or operated by UMS in conjunction with VBRNT Events Ltd (hereinafter referred to as "we," "us," or "our").

 

By electing to access, register for, activate, or otherwise utilize any component or derivative of the Platform, you ("you," "the user," or "the cardholder") explicitly acknowledge and irrevocably agree to the entirety of the provisions, stipulations, covenants, and obligations outlined herein. Non-compliance or refusal to accept any of the stipulations enumerated within these Terms and Conditions shall necessitate the immediate cessation of all usage rights associated with the Platform and its constituent elements.

 

1. Introduction, Scope, and Applicability

1.1 The Platform, in all its manifestations, has been conceptualized, developed, maintained, and operationalized by UMS in collaboration with its affiliate, VBRNT Events Ltd, to facilitate an ecosystem of interactive membership services, exclusive promotional benefits, and digital resources for registered members.

 

1.2 The present Terms and Conditions are applicable to, but not limited to, the following operations, processes, and activities:

 

The creation, management, and utilization of user membership accounts.

The issuance, download, activation, and application of the UMS Membership Card within compatible frameworks, including but not limited to Apple Wallet and other similar digital platforms.

The procurement, allocation, and administration of event-related tickets and registration mechanisms.

Engagement with discounts, promotional offers, and collaborative programs provided by third-party affiliates and/or partners.

The dissemination and processing of marketing communications.

The collection, aggregation, storage, analysis, and dissemination of personal and behavioral data, as outlined in our data processing policies.

1.3 All Platform functionalities, services, and associated entitlements are rendered available strictly for personal, non-commercial use, except where explicitly authorized by UMS in written form.

 

1.4 UMS retains exclusive discretion to modify, amend, suspend, restrict, or terminate, in whole or in part, the Platform’s functionalities, services, or these Terms and Conditions without prior notification or justification. Continued utilization of the Platform subsequent to such amendments constitutes your implicit acceptance of the modified stipulations.

 

2. Membership Eligibility, Registration, and Obligations

2.1 Access to the Platform and its associated privileges is contingent upon adherence to the following eligibility criteria:

 

Users must have attained the minimum legal age of 18 years.

Users must possess an active, duly registered membership account on the UMS Platform.

All registration information, including but not limited to name, contact details, and demographic data, must be accurate, up-to-date, and verifiable.

2.2 Membership entitlements, including but not limited to the UMS Membership Card, are exclusively non-transferable and non-assignable. Users are expressly prohibited from sharing access credentials, benefits, or related privileges with any third parties.

 

2.3 UMS reserves the unilateral right to periodically verify, validate, and reassess the eligibility and membership status of all registered users. Non-compliance with eligibility criteria, or the discovery of inaccuracies in registration data, shall entitle UMS to suspend or terminate the user’s membership and associated privileges forthwith.

 

2.4 Membership tiers, subscription fees, and/or service charges may be introduced, altered, or discontinued at UMS’s discretion, with prior notification provided via electronic or other communication channels.

 

3. UMS Membership Card

3.1 General Overview

3.1.1 The UMS Membership Card (hereinafter referred to as the "Membership Card") is a virtual, non-physical card issued exclusively to registered members of the Underground Music Society (UMS). It is accessible through compatible digital platforms, including, but not limited to, Apple Wallet, and functions as a key medium for accessing the benefits, discounts, and exclusive features provided by UMS and its partners.

3.1.2 The Membership Card is an integral part of the UMS Platform and remains the property of UMS and VBRNT Events Ltd at all times. Cardholders are granted a revocable, non-transferable license to use the Membership Card solely for personal purposes, subject to full compliance with these Terms and Conditions.

3.1.3 Use of the Membership Card constitutes acceptance of these Terms and Conditions, including the provisions specifically related to data collection, processing, and usage as outlined herein.

 

3.2 Activation and Management

3.2.1 The Membership Card must be downloaded and activated through the UMS Platform, requiring an active membership account.

3.2.2 Cardholders are responsible for ensuring that their Membership Card is stored on a compatible device and remains functional. Technical issues, including those caused by device incompatibility, user error, or software malfunctions, shall not be the liability of UMS or VBRNT Events Ltd.

3.2.3 Should a cardholder lose access to their Membership Card due to device loss, theft, or malfunction, the cardholder must notify UMS immediately. The cardholder may request a replacement or reactivation, subject to verification processes and any applicable administrative fees.

 

3.3 Benefits and Usage

3.3.1 The Membership Card grants access to exclusive member benefits, which may include but are not limited to discounted event tickets, partner offers, early registrations, and promotional content.

3.3.2 Benefits associated with the Membership Card are subject to availability, geographical location, and the terms and conditions set by individual partners. UMS does not guarantee the perpetual availability or uninterrupted access to these benefits.

3.3.3 The Membership Card is strictly for personal use. Unauthorized duplication, transfer, or sharing of the Membership Card or associated benefits constitutes a material breach of these Terms and Conditions and may result in the immediate suspension or termination of the cardholder’s membership and access rights.

 

3.4 Data Collection, Processing, and Usage

3.4.1 By activating and using the Membership Card, the cardholder consents to the collection, storage, processing, and usage of their personal and behavioral data by UMS and VBRNT Events Ltd, in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR).

3.4.2 Data collected may include, but is not limited to:

 

Personal details such as name, email address, phone number, and date of birth.

Behavioral data, including usage patterns, preferences, and engagement with the Membership Card, the UMS Platform, and associated services.

Transactional data, such as ticket purchases, benefit redemptions, and partner offer engagements.

3.4.3 UMS and VBRNT Events Ltd reserve the right to utilize the collected data for the following purposes:

Verifying eligibility and membership status.

Personalizing member experiences, benefits, and offers.

Developing and enhancing UMS services, platforms, and member benefits.

Conducting targeted marketing, promotional campaigns, and advertising, either directly or in collaboration with third-party partners.

Aggregating anonymized data for analytical, statistical, or research purposes.

3.5 Future Uses and Permissions

3.5.1 By agreeing to these Terms and Conditions, the cardholder provides explicit consent for UMS and VBRNT Events Ltd to retain, process, and use their personal data for any future purposes reasonably aligned with the objectives of the UMS Platform, provided such usage complies with GDPR or any subsequent data protection regulations.

3.5.2 Such potential future uses may include, but are not limited to:

 

Expansion of services or features provided through the Membership Card or UMS Platform.

Implementation of new technologies, platforms, or integrations designed to enhance the user experience or membership benefits.

Sharing of non-sensitive data with new or existing partners for collaborative marketing or benefit programs, subject to appropriate data processing agreements.

3.5.3 Any future data usage will be communicated to members through updates to these Terms and Conditions and/or explicit notifications via the UMS Platform, ensuring transparency and continued compliance with GDPR.

3.6 Marketing and Communication

3.6.1 By using the Membership Card, the cardholder consents to receive marketing communications, promotional offers, and updates related to UMS, VBRNT Events Ltd, and their partners via email, SMS, push notifications, or other communication channels.

3.6.2 The cardholder may opt out of marketing communications at any time by utilizing the unsubscribe mechanisms provided within the communications or by contacting UMS directly. However, opting out may limit access to certain promotional benefits.

3.6.3 UMS retains the right to send non-marketing administrative communications, such as membership updates, changes to terms, or service notifications, irrespective of the cardholder’s marketing preferences.

 

3.7 Data Sharing with Third Parties

3.7.1 UMS and VBRNT Events Ltd may share the cardholder’s personal data with trusted third-party partners for the following purposes:

 

Facilitating member benefits, discounts, and partner offers.

Conducting joint marketing or promotional campaigns.

Enhancing service delivery through partner platforms or systems.

3.7.2 Third-party partners are contractually obligated to adhere to GDPR and other applicable data protection regulations, ensuring the confidentiality and security of cardholder data.

3.8 Data Retention and Deletion

3.8.1 UMS and VBRNT Events Ltd will retain cardholder data for as long as the membership remains active and for a reasonable period thereafter, as required for legal, operational, or analytical purposes.

3.8.2 Upon termination of membership or upon receiving a formal data deletion request, UMS will delete or anonymize personal data, except where retention is required for compliance with legal or regulatory obligations.

 

3.9 Cardholder Responsibilities

3.9.1 The cardholder is responsible for safeguarding the security and confidentiality of their Membership Card and access credentials.

3.9.2 Any unauthorized use, misuse, or fraudulent activity associated with the Membership Card must be reported to UMS immediately.

 

3.10 Compliance with GDPR

3.10.1 All data processing activities carried out by UMS and VBRNT Events Ltd are fully compliant with the General Data Protection Regulation (GDPR).

3.10.2 Cardholders retain their rights under GDPR, including:

 

The right to access their personal data.

The right to request data correction or deletion.

The right to withdraw consent for data processing.

The right to data portability and to lodge complaints with a data protection authority.

4. Event Registrations and Ticketing Provisions

4.1 The Platform facilitates prioritized access to ticketing mechanisms, registrations, and exclusive events for its registered members.

 

4.2 Ticket availability is inherently subject to inventory limitations, demand fluctuations, and allocation policies determined by UMS and/or its affiliates.

 

4.3 All transactions pertaining to ticket purchases are final and non-refundable, except where explicitly permitted under event-specific refund policies.

 

4.4 Attendees at UMS-affiliated events are subject to compliance with all applicable venue regulations, behavioral codes, and safety protocols. Violations thereof may result in ejection or denial of entry, without reimbursement or recourse.

 

5. Partner Offers and Third-Party Engagements

5.1 The Platform enables access to promotional discounts, offers, and services provided by external partner entities. Such offers are governed by the specific terms and conditions of the respective partners.

 

5.2 UMS assumes no responsibility for the quality, availability, validity, or fulfillment of partner-provided goods, services, or promotional incentives.

 

5.3 Partner organizations retain the right to amend, withdraw, or restrict offers at their discretion, without prior notification to UMS or its members.

 

6. Data Aggregation, Processing, and Marketing Utilization

6.1 By registering for and utilizing the Platform, users consent to the systematic collection, processing, and storage of their personal data, including but not limited to demographic details, transaction histories, and behavioral analytics, in strict accordance with UMS’s Privacy Policy.

 

6.2 Personal data may be utilized by UMS and its affiliates, including VBRNT Events Ltd, for targeted marketing, service personalization, and third-party promotional collaborations.

 

6.3 Users may opt out of marketing communications at their discretion by utilizing the opt-out mechanisms provided within the communication itself or by contacting UMS’s designated data protection officer.

 

7. Termination and Amendments

7.1 UMS retains absolute discretion to terminate or modify memberships, privileges, and access rights at any time, without cause or justification, in instances of misuse, non-compliance, or operational necessity.

 

7.2 Amendments to these Terms and Conditions may be enacted unilaterally and shall become effective immediately upon publication.
